Leveraging Funding Capacity While Managing Corporate Financial Risk
Venmark structured and negotiated committed institutional financing for ESA-backed microgrid projects, establishing a repeatable project-level funding program while preserving corporate financing capacity.
A closely held developer, owner, and operator of microgrid power and energy systems faced strong demand for its services and an expanding pipeline of contracted and prospective projects. Its bank lines of credit and bonding capacity were approaching their limits, restricting its ability to finance additional projects and expand engineering, project management, and technical resources.
The company’s growth opportunities were outpacing its corporate funding capacity. Conventional borrowing and lines of credit alone could not adequately support working capital, equipment, construction, and bonding needs associated with new projects.
Venmark worked with management to model project-level funding requirements, evaluate alternative financing structures, and develop a repeatable, template-based financing approach to support multiple future projects backed by qualifying long-term Energy Services Agreements (ESAs).
Venmark advised on the evaluation and negotiation of a $75 million committed institutional debt financing program with a global alternative investment fund. The arrangement established financing terms, documentation, eligibility requirements, and covenants in advance, subject to project-level verification and approval before individual funding draws. The structure was designed to qualify for off-balance-sheet treatment while maintaining compliance with the company’s existing commercial banking covenants.
The engagement resulted in a fully executed $75 million financing commitment from a global institutional alternative investment fund, establishing a dedicated source of project-level debt funding for qualifying ESA-backed microgrid power and energy projects.
Funds were advanced as individual projects satisfied the agreed eligibility requirements and received final approval. Over time, the entire $75 million commitment was drawn and deployed across qualifying projects.
This financing program reduced reliance on existing corporate credit facilities and enabled the company to pursue additional projects while managing borrowing and bonding constraints.
Rather than negotiating financing separately for each new project or relying exclusively on corporate credit facilities, Venmark helped establish an institutional funding program with predetermined financing terms and a repeatable process for qualifying individual projects.
